1. Introduction and Binding Agreement

 

Welcome to JobBoardMilwaukee ("Service", "we," "our," or "us"). BY ACCESSING OR USING OUR WEBSITE AT JobBoardMilwaukee.COM, YOU AGREE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE ("TERMS") IN THEIR ENTIRETY.

 

If you do not agree to these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

 

These Terms constitute a legally binding agreement between you and JobBoardMilwaukee regardless of whether you register for an account. We reserve the right to modify these Terms at any time without prior notice. Any modifications will be effective immediately upon posting. Your continued use of the Service following any changes constitutes your binding acceptance of such changes. You are responsible for regularly reviewing these Terms.

 

PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS.

 

2. Eligibility and User Accounts

 

2.1 Age and Capacity

 

You represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding contracts. If you are under 18 years of age, you are prohibited from using the Service.

 

2.2 Account Requirements

 

To access certain features, you may be required to register for an account. When registering, you must provide complete and accurate information. You are solely responsible for:

 

•   Maintaining the confidentiality of your account credentials

•   All activities occurring under your account

•   Immediately notifying us of any unauthorized use or security breaches

•   Ensuring your information remains current and accurate

 

2.3 Account Types

 

We offer different account types with varying capabilities:

 

•   Job Seekers can browse jobs, submit applications, and track application status

•   Employers can post job listings, review applications, and manage listings

•   Administrators have elevated privileges to manage platform content

 

2.4 Account Termination

 

We reserve the absolute right, in our sole discretion, to terminate, suspend, or restrict your access to your account or any portion of the Service, without notice and without liability, for any reason whatsoever. This includes, but is not limited to, any violation of these Terms or if we believe your conduct violates applicable law or is harmful to other users or third parties, or for any reason with or without cause.

 

3. Prohibited Content and Conduct

 

3.1 Content Restrictions

 

You shall not post, upload, transmit, or otherwise make available through the Service any content that:

 

•   Is false, fraudulent, deceptive, misleading, or inaccurate

•   Infringes upon any patent, trademark, trade secret, copyright, or other intellectual property right

•   Contains discriminatory, defamatory, harassing, threatening, pornographic, or otherwise objectionable material

•   Promotes illegal activities or contains content that is illegal under any applicable law

•   Includes personal or identifying information about another person without their explicit documented consent

•   Advertises goods or services unrelated to legitimate job opportunities

•   Contains viruses, malware, or other malicious code

•   Impersonates any person or entity, including our employees or representatives

 

3.2 Prohibited Activities

 

You are strictly prohibited from:

 

•   Using the Service for any unlawful purpose or in violation of any local, state, national, or international law

•   Interfering with, disrupting, or creating an undue burden on the Service or the networks connected to the Service

•   Bypassing any measures we use to restrict access to or use of the Service

•   Data mining, scraping, or using automated means to collect information from the Service

•   Sending spam, chain letters, or other unsolicited communications

•   Attempting to access areas of the Service or other accounts for which you are not authorized

•   Attempting to probe, scan, or test the vulnerability of our systems

•   Creating multiple accounts for abusive purposes

•   Offering bribes, kickbacks, or other inducements to employers, job seekers, or JobBoardMilwaukee staff

 

3.3 Enforcement

 

Violation of these prohibitions may, in our sole discretion, result in termination of your account and access to the Service. We reserve the right to remove any content for any reason, including but not limited to content that violates these Terms. We are not obligated to monitor all content but may do so at our discretion to ensure compliance with these Terms. JobBoardMilwaukee explicitly reserves the right to take appropriate legal action against violators.

 

4. Payment Terms

 

4.1 Service Fees

 

We offer various job posting services at the following rates:

 

•   Standard Job Listing: $4.99 per 30-day listing

•   Featured Job Listing: $27.99 per 30-day listing

 

4.2 Payment Processing

 

All payments are securely processed through our third-party payment processors. By submitting payment information, you:

 

•   Represent that you are authorized to use the payment method

•   Authorize us to charge the applicable fees to that payment method

•   Acknowledge and agree to the payment processor's terms of service

 

4.3 No Refunds

 

ALL FEES ARE NON-REFUNDABLE, even if your job listing is removed due to violations of these Terms, you terminate your account, or you are dissatisfied with the results or responses to your listing. There are absolutely NO EXCEPTIONS to this no-refund policy.

 

4.4 Pricing Changes

 

We reserve the right to change our pricing at any time in our sole discretion without notice. Any price changes will apply to future purchases only and will not affect existing paid listings.

 

4.5 Taxes

 

You are solely responsible for payment of all applicable taxes relating to your use of the Service and purchase of any services. Prices listed do not include applicable taxes, which may be added to your final payment amount.

 

5. Intellectual Property Rights

 

5.1 JobBoardMilwaukee Property

 

The Service and all of its contents, features, and functionality, including but not limited to all text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, software, and code, are the exclusive property of JobBoardMilwaukee or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

 

5.2 Limited License

 

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes. This license does not include:

 

•   Any resale or commercial use of the Service or its contents

•   Any collection and use of any job listings, descriptions, or prices

•   Any derivative use or making adaptations of the Service or its contents

•   Any downloading or copying of account information for the benefit of another merchant

•   Any use of data mining, robots, or similar data gathering and extraction tools

 

5.3 User Content License

 

By submitting any content to the Service, including but not limited to job listings, resumes, applications, and communications (collectively, "User Content"), you hereby grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, transferable, sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media for any business purpose.

 

5.4 Rights You Retain

 

You retain all ownership rights in your User Content, subject to the licenses granted herein. You represent and warrant that: (i) you own the User Content posted by you or otherwise have the right to grant the license set forth above, and (ii) your User Content does not violate the privacy rights, publicity rights, copyright rights, or other rights of any person or entity.

 

6. Resume & Application Security

 

6.1 Data Security Measures

 

We implement certain technical measures to protect application materials, including:

•   Encrypted storage of resume files

•   Access controls limiting which employers can view submitted applications

•   Secure transmission of application data

 

6.2 Limitations of Security

 

WHILE WE STRIVE TO USE COMMERCIALLY ACCEPTABLE MEANS TO PROTECT YOUR PERSONAL INFORMATION, WE CANNOT GUARANTEE ITS ABSOLUTE SECURITY.

 

Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Service.

 

6.3 Employer Access

 

When you apply for a job through our Service, you acknowledge and agree that your application materials, including your resume and contact information, will be shared with the employer to whom you've applied. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any employer.

 

6.4 Third-Party Access Disclaimer

 

JobBoardMilwaukee MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING HOW EMPLOYERS OR OTHER THIRD PARTIES WILL USE THE INFORMATION YOU VOLUNTARILY PROVIDE TO THEM.

 

We strongly recommend that you review the privacy policies of any employer before applying to their job listings.

 

7. Termination

 

7.1 Termination by JobBoardMilwaukee

 

WE RESERVE THE RIGHT, IN OUR SOLE AND ABSOLUTE DISCRETION, TO RESTRICT, SUSPEND, OR TERMINATE YOUR ACCESS TO ALL OR ANY PART OF THE SERVICE, INCLUDING YOUR ACCOUNT, AT ANY TIME AND FOR ANY OR NO REASON, WITHOUT PRIOR NOTICE OR LIABILITY.

 

We may also terminate or suspend your account for inactivity, which we define as failing to log into your account for an extended period, as determined by us.

 

7.2 Termination by You

 

You may terminate your account at any time by following the instructions on the Service or by contacting us directly. Termination of your account does not relieve you of the obligation to pay any outstanding fees.

 

7.3 Effect of Termination

 

Upon termination of your account:

 

•   Your right to access and use the Service will immediately cease

•   We may delete or remove your User Content and account information

•   We are under no obligation to return any data to you

•   All fees paid are non-refundable

•   Any job listings or other paid services will be immediately terminated without refund

 

7.4 Survival

 

All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnifications, limitations of liability, and dispute resolution provisions.

 

8. DISCLAIMERS AND COMPREHENSIVE WAIVER OF WARRANTIES

 

ABSOLUTE DISCLAIMER OF ALL WARRANTIES

 

THE SERVICE AND ALL CONTENT, INFORMATION, MATERIALS, AND FUNCTIONS PROVIDED THROUGH THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. JobBoardMilwaukee DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, FREEDOM FROM COMPUTER VIRUS, SPYWARE, MALWARE OR OTHER HARMFUL COMPONENTS, UNINTERRUPTED OR ERROR-FREE OPERATION, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR SERVER THAT MAKES THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

 

YOU ACKNOWLEDGE THAT JobBoardMilwaukee DOES NOT CONTROL, ENDORSE, OR TAKE RESPONSIBILITY FOR ANY USER CONTENT, SERVICES, OR EXTERNAL WEBSITES. JOB POSTINGS, EMPLOYER INFORMATION, AND JOB SEEKER PROFILES AND MATERIALS ARE USER CONTENT CREATED BY THIRD PARTIES OVER WHOM JobBoardMilwaukee HAS NO CONTROL. JobBoardMilwaukee MAKES NO GUARANTEES REGARDING THE ACCURACY, LEGITIMACY, TRUTHFULNESS, SAFETY, OR RELIABILITY OF ANY JOB LISTINGS, EMPLOYERS, OR JOB SEEKER MATERIALS.

YOU ACKNOWLEDGE THAT JobBoardMilwaukee IS A VENUE ONLY AND HAS NO CONTROL OVER ANY ASPECT OF ANY JOB, INCLUDING ITS EXISTENCE, LEGITIMACY, SAFETY, OR LEGALITY. ANY RELIANCE YOU PLACE ON JOB LISTINGS, EMPLOYER INFORMATION, OR OTHER USER CONTENT IS DONE SOLELY AT YOUR OWN RISK.

 

THE FOLLOWING DISCLAIMERS OF WARRANTY AND LIMITATIONS OF LIABILITY ARE SIGNIFICANT ELEMENTS OF THIS AGREEMENT AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

 

8.1 "AS IS" and "AS AVAILABLE"

 

THE SERVICE AND ALL CONTENT, MATERIALS, INFORMATION, AND FUNCTIONALITY AVAILABLE THROUGH THE SERVICE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

 

8.2 No Guarantees

 

JobBoardMilwaukee DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE SECURE OR AVAILABLE AT ANY TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. YOU USE THE SERVICE AT YOUR OWN RISK.

 

8.3 Job Listings and Employers

 

JobBoardMilwaukee IS NOT AN EMPLOYMENT AGENCY OR EMPLOYER AND IS NOT RESPONSIBLE FOR:

 

•   THE QUALITY, SAFETY, OR LEGALITY OF ANY JOB LISTINGS OR EMPLOYERS

•   THE TRUTH, ACCURACY, OR COMPLETENESS OF ANY JOB LISTINGS OR EMPLOYER REPRESENTATIONS

•   THE HIRING DECISIONS OF ANY EMPLOYER

•   THE AVAILABILITY OR TERMS OF ANY JOB OPPORTUNITY

•   THE ACTIONS OR OMISSIONS OF ANY USERS OF THE SERVICE, INCLUDING EMPLOYERS

•   THE CONTENT OF ANY COMMUNICATION BETWEEN EMPLOYERS AND JOB SEEKERS

•   ANY NEGATIVE OUTCOMES RESULTING FROM JOB APPLICATIONS OR EMPLOYMENT OBTAINED THROUGH THE SERVICE

•   ANY UNLAWFUL OR DISCRIMINATORY HIRING PRACTICES BY EMPLOYERS

LIMITATION OF LIABILITY

 

IN NO EVENT SHALL JobBoardMilwaukee, ITS DIRECTORS, OFFICERS, SHAREHOLDERS, EMPLOYEES, AFFILIATES, LICENSORS, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF JobBoardMilwaukee HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM:

 

•   YOUR USE OR INABILITY TO USE THE SERVICE;

•   ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES;

•   ANY CONTENT OBTAINED FROM THE SERVICE;

•   UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;

•   STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE;

•   ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY RESULTING FROM YOUR USE OF THE SERVICE;

•   ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICE;

•   ANY ACTION TAKEN AGAINST YOU BY A THIRD PARTY OR GOVERNMENTAL ENTITY RELATED TO YOUR USE OF THE SERVICE;

•   ANY ERRORS, INACCURACIES, OMISSIONS, OR OTHER DEFECTS IN THE CONTENT WITHIN THE SERVICE, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT;

•   ANY FAILURE OF THE SERVICE TO PERFORM IN ACCORDANCE WITH YOUR EXPECTATIONS;

•   ANY EXPOSURE TO VIRUSES, MALWARE, OR OTHER HARMFUL CODE THROUGH THE SERVICE.

 

THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF JobBoardMilwaukee HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, JobBoardMilwaukee'S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.

 

8.4 Limitation on Damages

 

THE MAXIMUM LIABILITY OF JobBoardMilwaukee, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS TO YOU FOR ANY AND ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL BE LIMITED TO THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO JobBoardMilwaukee FOR THE SERVICE IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, OR (B) $100 USD.

 

8.5 Indemnification

 

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS JobBoardMilwaukee, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, CONTRACTORS, SUPPLIERS, LICENSORS, AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, DEBTS, DEMANDS, EXPENSES, AND ATTORNEY'S FEES ARISING FROM OR RELATING TO:

 

•   YOUR USE OF AND ACCESS TO THE SERVICE;

•   YOUR VIOLATION OF ANY TERM OF THESE TERMS;

•   YOUR VIOLATION OF ANY THIRD-PARTY RIGHT, INCLUDING WITHOUT LIMITATION ANY COPYRIGHT, PROPERTY, OR PRIVACY RIGHT;

•   ANY CLAIM THAT YOUR CONTENT CAUSED DAMAGE TO A THIRD PARTY;

•   ANY INTERACTION WITH AN EMPLOYER OR JOB LISTING FOUND THROUGH THE SERVICE;

•   ANY EMPLOYMENT DECISION OR RELATIONSHIP RESULTING FROM YOUR USE OF THE SERVICE.

 

THIS DEFENSE AND INDEMNIFICATION OBLIGATION WILL SURVIVE THESE TERMS AND YOUR USE OF THE SERVICE.
